ADnocrats Advertising Campaign Terms of Use

By choosing to have ADnocrats run an ad for you, you acknowledge and agree to a number of terms. Here's a quick summary of those terms, but you should also check out the full terms below. You also agree to all applicable portions of our Terms of Use. You have to own or have the express legal right to use all of the creative assets you've put into your ad. The platforms where we run campaigns have their own terms and community standards, including prohibited items and industries. Both your business and your ad must adhere to those, as well as all applicable laws, regulations, and rules. On our side, we promise to do our best to run a great campaign for you, but we can't guarantee any specific results or metrics. For our efforts, we'll take the fee noted on the product. There may be times when we think that running a particular campaign would be legally or ethically problematic for us, and we have the right to refuse to run that campaign or discontinue it if we're currently running it. In nearly all of the cases in which we can't run your campaign, we'll refund you the unused amount you paid for it. You can cancel your campaign at any time.

Please read these Campaign Terms of Use (the “Campaign Terms”) carefully before purchasing an ad campaign from ADnocrats or otherwise engaging us to place an advertisement for you on any advertising platform. These Campaign Terms constitute an agreement between you and/or your company or business (collectively, “you”) and ADnocrats, Inc. (“ADnocrats” or “we” or “us”). By purchasing an ad campaign (the “Campaign”) from us, you agree to be bound by these Campaign Terms, our general Terms of Use and our Privacy Policy. If you do not agree to any of these Campaign Terms, please do not purchase a campaign from us.

You hereby agree that you are solely responsible for any and all materials (including photographs, video, audio tracks, logos, icons, graphics, marks, slogans, wording/copy, etc.) that you include in your ad (the “Ad”) and approve for display in the Campaign. You represent, warrant and agree that any such materials included by you, including the product and company being advertised, do not:

• infringe upon or violate the rights of any third party (including copyright, trademark, privacy, publicity or other personal rights);

• contain pornographic material, illegal material or products, libelous or defamatory material;

• violate or encourage the violation of any applicable laws, regulations, rules, or any other codes (including, without limitation, rules, standards or codes of conduct for non-governmental or quasi-governmental associations);

• violate any terms, community standards, codes of ethics, or other similar rules set by any of the platforms on which ADnocrats will be running the Campaign.

By purchasing the Campaign, you are explicitly approving the Ad and attesting that it adheres to, and that you agree to be bound by, all of the above terms. You further represent, warrant, and agree to hold harmless and to indemnify ADnocrats in the event that we are subject to any legal action or proceeding resulting from proper execution of the Campaign. This indemnification includes any loss of business, damage to reputation, or similar non-direct or non-monetary losses that may arise from ADnocrats's connection to the Ad and the Campaign.

You agree to provide ADnocrats with any necessary access to ad management accounts, social media accounts, websites, etc. in order to run the Campaign. Failure to timely provide such access will not preclude the incurment of any monthly or other fees. ADnocrats is not responsible for any reaction to the Campaign on any social media site, any loss of business or pecuniary loss due to the contents of the Campaign, or any non-Campaign-related result whatsoever on any of your social media accounts to which ADnocrats has access.

Upon your completed purchase and agreement with all applicable terms, ADnocrats agrees to run the Campaign on your behalf, based on the content, limits, spend, and other parameters set by you. You are solely responsible for any of these parameters that you set and we will not be responsible for ensuring their accuracy. We will run the campaign, including targeting and optimization, within industry standards and with a reasonable standard of care. We do not, however, make any warranties, guarantees, or representations regarding results such as the number of impressions, click-through ratio, sales conversions, resultant revenue or any other metric.

You agree that we, at our sole discretion, for any reason, may refuse to include any portion of the Ad or refuse to run the Campaign at all. In the event that such right of refusal is exercised, ADnocrats will refund any unused portion of any monies paid by you in connection with the Campaign, less the cost to create the Ad itself and any administrative costs, except we reserve the right to hold any monies which may be the subject of a dispute between any parties, until such dispute is settled or adjudicated. We further reserve the right to discontinue the ad campaign product completely at any time for any reason or no reason, and will refund any unused portion of any monies paid by you in connection with the Campaign, less the cost to create the ad itself and any administrative costs, in the event of such discontinuation.

The term of this agreement between you and ADnocrats shall run from the date upon which you purchase your Campaign until you notify us in writing or via phone that you would like to cancel your Campaign. Your indemnification of ADnocrats, for monetary and non-monetary loss, and ADnocrats's right to hold monies in dispute shall survive the termination of this agreement. All disclaimers, limitations of liability and their exceptions, arbitration agreements, choice of venue, choice of law and other applicable portions of the Terms of Use and the Privacy Policy shall apply to this product and to the relationship herein created between you and ADnocrats.
